Below are the minutes that I took from the BOD meeting at the Lucky 32 Restaraunt in Cary on 8/31/09. A copy of these has been printed out for the corporate book as well.

Notes from North Carolina Woodworker BOD meeting
Lucky 32 Restaurant, Cary NC
Noon on 8/31/09

BOD members present: Stuart Nelson, Scott Miller, Rob Payne, Doug Robinson, Travis Porter, Scott Smith

Items discussed:

Discussed providing GWL users with a list of parts. Recipients will be responsible for the listed items and must replace all lost items excepting normal wear and tear,

Rob gave an update on the raffle prizes. Klingspor is participating with us by discounting tools that we’ll purchase for the raffle. Lee Valley will donate 3 planes, and Lie-Nielsen will donate a small brass cross-peen hammer. Carolina Lumber Sourcing will donate 50 bd ft of curly maple.

Rob has a letter into Grizzly requesting a drum sander, but no response yet.

On a similar topic, Doug suggested inviting some representatives of the companies contributing to the raffle to our picnic (potential presentations or demo’s).

Travis reported donations recently received of $100.00, around $250 – 300 per month from Google, plus another $100 – 150 per month in ad revenue (tombstone ads). Amazon was producing about $40.00 per month in revenue at the end, and occasionally we will receive around $50.00 per quarter from Rockler and Woodcraft.

The BOD discussed various ideas concerning the grand prize for this year’s raffle. Items discussed included a Fuji HVLP system from Klingspor that would cost us around $450.00 after discount. Additional ideas discussed included a Festool package including a vacuum, sander, and possibly a Domino, or some combination thereof. Also discussed was a complete Tormek sharpening system. Discussed polling the membership as to what to offer as the grand raffle prize.

BOD members agreed that they would be exempt from participating in the raffle. We discussed opening up the raffle ticket sales to non-members at the Klingspor and Symposium shows, etc. Ideas included a system to encourage folks buying raffle tickets to become new North Carolina Woodworker members.

The BOD discussed a recent new member (21 Productions) who has offered to sell surplus wood from his cabinet shop at significant discounts to our members, and make a donation to North Carolina Woodworker. Concern was expressed as to the member’s intentions, and Doug volunteered to stop by and meet him to discuss further. Since this member has been in contact with Stuart regarding his proposal, Stuart will respond to him and let him know that Doug will be stopping by to discuss further.

Rob reported that he had agreement from Klingspor that they will provide gift certificates for our calendar prizes at a discount to us, and that they will additionally honor the North Carolina Woodworker member discount when members use these same certificates.

We have not heard back from either Carolina Lumber Sourcing or Rick DeNardo at the Moulding Source re contributions towards the calendar contest.

We discussed moderation philosophy. Because ScottM was not at the first BOD meeting (new BOD) that took place at Steve Cole’s house, Doug filled him in on the general consensus amongst the new BOD that we’d like to see slightly less aggressive moderation practices (minimal “proactive” moderating), but that posts that were clearly outside of the policies should be moderated quickly. Doug also mentioned that we had lost one of our members – Ray Martin – due to Ray’s concern with past moderation practices (Steve Cole’s rules). Doug shared his overall philosophies and there was good discussion amongst all BOD members.

We all agreed that any significant concerns between BOD members should be discussed either live or on the phone, as opposed to in e-mail or a posting, in order to minimize any misunderstandings or untoward comments.

Scott M officially rescinded his resignation and the other BOD members were very pleased. The BOD discussed various philosophies regarding working together. Travis reiterated his regret over his comments and apology to Scott M, and everybody agreed that the issue could be considered to be closed and put behind us.

ScottM also suggested that it would be best (but not practical at the present) if moderators were not BOD members.

The BOD discussed backing away somewhat from “pre-emptive” moderating, but agreed that it would be appropriate for a moderator to post a comment in a thread of concern letting everybody know that the post could go south and reminding everybody to please stay within bounds.

The BOD agreed that moderators still have the lead on managing threads, and that if something is clearly out of bounds that they should moderate it quickly. If it’s gray, then discuss it in the moderator’s forum.

Travis will send to Doug and ScottS the information re the non-profit status and attorney contact, and Doug and Scott will pursue this further.

The BOD discussed staggering the terms of the BOD members, and that the treasurer’s term should not terminate at the same time as the fiscal EOY.

The BOD discussed delaying the raffle timeframe by a month so that it did not overlap the Q4 donation drive. We agreed to keep the donation drive in October, and to delay the raffle until November, with the exception of allowing raffle ticket “pre-sales” at the Klingspor and Symposium events.

Also discussed was getting the 2010 picnic committee working before the end of this year, and perhaps encouraging JimmyC to participate. We discussed potential location changes, in order to reduce costs (facility rental) as well as potentially provide more convenience to some of our members. A survey will be taken from our members as to their preference for location.

The BOD agreed to allocate $1000 for the purchase of raffle prizes, and another $1000 for calendar prizes. Additionally, $150.00 was allocated to purchasing components needed for the Good Will lathe. Travis will order the parts since he has the credit card. The BOD agreed expending $200.00 for printing, flyers, etc.

Rob agreed to coordinate the North Carolina Woodworker participation in the Klingspor show.

The BOD discussed potential ideas for supporting active duty military personnel, either after they return from an overseas deployment or supporting their families while deployed.

The meeting adjourned at approximately 1:30

Great set of minutes -- thanks, Scott!

Raffle Update -- Lie-Nielsen is sending a second cross peen hammer, this one is A2 hardened steel. They had intended to send both hammers, but their shipping folks messed it up.
